Welcome to TeaSource. These Terms of Use & User Agreement (“Terms”) govern your access to and use of the TeaSource website, including www.teasource.com (the “Website”), and your purchase and use of products and services offered through the Website.

By accessing the Website, creating an account, placing an order, participating in TeaSource programs, submitting content, or otherwise using the Website, you agree to these Terms. If you do not agree to these Terms, please do not use the Website.

TeaSource may update these Terms from time to time. The “Last Updated” date above indicates when these Terms were most recently revised. Your continued use of the Website after revised Terms are posted constitutes acceptance of the updated Terms.

1. About TeaSource

TeaSource is a specialty tea retailer offering tea, teaware, gifts, accessories, and related products through its Website and retail operations.

TeaSource strives to provide accurate and current information about its products, including descriptions, ingredients, origins, photographs, availability, and pricing. However, some information may change as products, inventory, packaging, suppliers, or other circumstances change.

You are responsible for providing accurate information and for maintaining the confidentiality of your account credentials. You are also responsible for activity occurring through your account unless the activity results from circumstances outside your reasonable control.

Please notify TeaSource promptly if you believe your account has been accessed without authorization.

TeaSource may suspend or terminate an account when reasonably necessary, including in connection with suspected fraud, abuse, unauthorized activity, or violation of these Terms.

4. Product Information and Availability

TeaSource makes reasonable efforts to ensure that product descriptions, photographs, prices, availability, ingredients, and other information displayed on the Website are accurate. However, we do not guarantee that every piece of information is complete, current, or error-free.

Product photographs are intended to provide a general representation of the product. Packaging, labels, colors, and other visual details may vary.

TeaSource may change product descriptions, pricing, availability, packaging, ingredients, or other product information at any time.

Some teas are sourced in limited quantities and may become unavailable without notice. A product appearing on the Website does not guarantee that it will remain available.

5. Tea and Product Information

TeaSource provides information about tea ingredients, caffeine content, flavor profiles, origins, preparation, and other characteristics for informational purposes.

Tea and herbal products may contain ingredients to which some individuals are sensitive or allergic. You are responsible for reviewing product information and determining whether a product is appropriate for you.

Information provided by TeaSource is not intended to diagnose, treat, cure, or prevent any medical condition and should not be considered medical or dietary advice.

If you have questions about whether a product is appropriate for you, consult an appropriate healthcare professional.

6. Orders and Order Acceptance

When you place an order through the Website, you are submitting an offer to purchase the products in your order.

Receipt of an order confirmation does not necessarily mean that TeaSource has accepted the order. TeaSource reserves the right to accept, decline, limit, or cancel an order for any lawful reason, including:

  • Product availability;

  • Pricing or listing errors;

  • Suspected fraud or unauthorized activity;

  • Purchasing patterns that appear abusive or inconsistent with ordinary consumer use;

  • Shipping or address limitations; or

  • Other circumstances requiring cancellation or limitation of the order.

If TeaSource cancels or materially modifies an order after payment has been processed, TeaSource will refund any amount paid for products that are not provided.

TeaSource may limit quantities purchased by a customer, household, account, or other purchasing group when reasonably necessary, including during promotions or periods of limited inventory.

7. Pricing, Taxes, and Payment

Prices displayed on the Website are subject to change without notice.

TeaSource makes reasonable efforts to display accurate pricing. If a product is listed at an incorrect price due to a typographical, technical, or other error, TeaSource reserves the right to correct the error and, where appropriate, cancel the affected order and refund any amount paid.

Applicable sales tax and other legally required charges may be added to an order.

Payment must be successfully authorized before an order can be processed.

TeaSource does not receive or store complete payment-card numbers through its Website. Payment information may be processed by third-party payment providers in accordance with their own terms and privacy practices.

8. Shipping and Delivery

TeaSource ships orders to destinations and by methods made available at checkout.

Shipping charges, estimated delivery times, and available shipping methods may vary based on the destination, order contents, shipping method, and other factors.

Delivery estimates are estimates rather than guarantees. TeaSource is not responsible for delays caused by carriers, weather, natural disasters, governmental actions, or other circumstances outside TeaSource's reasonable control.

Customers are responsible for providing an accurate and complete shipping address. TeaSource may charge additional shipping costs or other applicable fees when an order must be reshipped because of an incorrect or incomplete address.

Risk of loss and responsibility for products may transfer in accordance with applicable law and the shipping terms applicable to the order.

9. Returns and Refunds

Unless otherwise stated for a particular product or promotion, eligible products may be returned within 45 days of the date of purchase.

Tea

Tea must be returned with the original heat seal intact. Opened tea is not eligible for return.

General Merchandise

General merchandise, including teaware and accessories, must be unused and in its original packaging to be eligible for return.

Shipping Costs

Original shipping charges are not refundable.

TeaSource does not provide or reimburse return shipping. Customers are responsible for the cost of shipping eligible returns to TeaSource.

Refunds

Returned products are subject to inspection. Once an eligible return is received and approved, TeaSource will issue the applicable refund to the original payment method, subject to any applicable limitations.

TeaSource may decline a return that does not meet the applicable eligibility requirements described above.

Damaged, Defective, or Incorrect Orders

If an item arrives damaged, defective, or different from what was ordered, please contact TeaSource as soon as reasonably possible. These situations may be handled separately from ordinary returns.

Additional return requirements may apply to certain products or circumstances where required by law or stated at the time of purchase.

10. Promotions, Discounts, and Promotional Codes

TeaSource may offer promotions, discounts, promotional codes, free-shipping offers, or other special offers.

Unless otherwise stated:

  • Promotions are subject to their stated terms and expiration dates;

  • Promotional offers may not be combined;

  • Discounts generally apply only to eligible products;

  • Promotional codes may not be transferred, sold, or reproduced;

  • TeaSource may correct or cancel a promotion affected by an error; and

  • TeaSource reserves the right to modify or end a promotion when permitted by law.

Additional terms may apply to individual promotions.

11. Gift Cards

TeaSource gift cards may be subject to additional terms presented at the time of purchase or redemption.

Gift cards may not be redeemed for cash except where required by applicable law.

TeaSource is not responsible for gift cards that are lost, stolen, or used without authorization, except where required by law.

12. Loyalty, Rewards, and Membership Programs

TeaSource may offer loyalty, rewards, membership, referral, or other customer programs.

Each program may have additional terms governing eligibility, earning and redemption of rewards, membership benefits, expiration, cancellation, and other program conditions. The TeaSource Loyalty & Referral Program Terms contain the specific rules governing participation in those programs and are incorporated into these Terms by reference.

TeaSource reserves the right to modify, suspend, or discontinue a program or its benefits when permitted by law. Where required, TeaSource will provide notice of material changes.

TeaSource may reverse or adjust rewards associated with refunded, cancelled, or fraudulent transactions.

Additional terms presented when enrolling in a particular program are incorporated into these Terms by reference.

13. Reviews and User-Submitted Content

TeaSource may allow customers to submit reviews, comments, photographs, questions, testimonials, or other content (“User Content”).

You are responsible for User Content that you submit.

By submitting User Content to TeaSource, you represent that:

  • You have the right to submit the content;

  • The content is accurate to the best of your knowledge;

  • The content does not violate the rights of another person or organization;

  • The content does not contain unlawful, threatening, defamatory, abusive, obscene, or otherwise inappropriate material; and

  • The content is not submitted primarily for advertising, spam, or other unauthorized promotional purposes.

By submitting User Content, you grant TeaSource a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, modify, and publish that content in connection with TeaSource's business, marketing, products, and services.

TeaSource may moderate, edit, refuse to publish, or remove User Content at its discretion, including content that violates these Terms or applicable policies.

TeaSource does not necessarily endorse opinions expressed in customer reviews or other User Content.

14. Intellectual Property

The Website and its content—including text, photographs, graphics, logos, product descriptions, videos, designs, software, and other materials—are owned by or licensed to TeaSource and are protected by applicable intellectual-property laws.

TeaSource grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Website for personal, non-commercial purposes.

You may not reproduce, distribute, modify, publicly display, sell, license, create derivative works from, or otherwise exploit TeaSource content without prior written permission, except where permitted by law.

TeaSource names, logos, trademarks, trade dress, and other branding may not be used without permission.

Third-party services may include payment providers, shipping services, analytics providers, marketing platforms, loyalty providers, review platforms, social-media services, and other technology providers.

TeaSource does not control third-party services and is not responsible for their content, availability, security, policies, or practices.

Your use of a third-party service may be subject to that provider's separate terms and privacy policy.

16. Electronic Communications

When you use the Website, place an order, create an account, or communicate with TeaSource electronically, you consent to receiving electronic communications from TeaSource as necessary to operate your account, process transactions, provide customer service, and otherwise communicate with you.

Transactional communications are separate from optional marketing communications.

You may unsubscribe from marketing email or SMS communications using the instructions provided in those communications. Opting out of marketing communications does not prevent TeaSource from sending necessary transactional or service-related communications.

17. Privacy

TeaSource's collection and use of personal information is described in the TeaSource Privacy Policy, which is incorporated into these Terms by reference.

The Privacy Policy explains the categories of information TeaSource may collect, how that information is used, and the circumstances in which it may be disclosed to service providers, business partners, advertising and marketing providers, professional advisors, and others as described in the Privacy Policy.

18. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Website and its content are provided on an “as is” and “as available” basis.

TeaSource does not guarantee that:

  • The Website will always be available, uninterrupted, or error-free;

  • Information on the Website will always be complete, accurate, or current;

  • The Website will be free from viruses or other harmful components; or

  • Products or Website content will meet every customer's particular expectations or requirements.

Nothing in these Terms is intended to exclude or limit any warranty or consumer protection right that cannot lawfully be excluded or limited.

19. Limitation of Liability

To the fullest extent permitted by applicable law, TeaSource and its owners, employees, affiliates, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Website, products purchased through the Website, or these Terms.

To the fullest extent permitted by law, TeaSource's total liability arising from or relating to a particular transaction or claim will not exceed the amount you paid to TeaSource for the product or service giving rise to the claim.

These limitations do not apply to liability that cannot legally be limited or excluded under applicable law.

20. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless TeaSource and its owners, employees, affiliates, contractors, and representatives from claims, liabilities, damages, losses, and expenses arising out of:

  • Your violation of these Terms;

  • Your misuse of the Website;

  • Your User Content;

  • Your violation of another person's rights; or

  • Your violation of applicable law.

TeaSource reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification, and you agree to cooperate with that defense.

21. Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

Any dispute-resolution provisions, venue requirements, arbitration provisions, class-action provisions, or other legally significant dispute terms should be reviewed and finalized by TeaSource's legal counsel before publication.

22. Changes to These Terms

TeaSource may update these Terms from time to time.

When changes are made, TeaSource will update the “Last Updated” date at the top of this page. Material changes may be communicated through additional means when appropriate.

Your continued use of the Website after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

23. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the fullest extent permitted by law, and the remaining provisions will remain in effect.

24. Waiver

TeaSource's failure to enforce a provision of these Terms does not constitute a waiver of its right to enforce that provision later.

25. Entire Agreement

These Terms, together with any additional terms or policies expressly incorporated by reference, constitute the agreement between you and TeaSource concerning your use of the Website and supersede prior agreements concerning the same subject matter, except where a separate written agreement applies.
